From interest to closing.

Subscribing to a Slate Blue Capital fund follows a documented sequence designed for institutional limited partners. The path begins with confidential review of fund materials and concludes with subscription, accredited investor verification, anti-money-laundering and know-your-customer onboarding, and capital account activation in the LP Portal.

Indication of interest

Prospective LPs request fund materials through investor relations. Following an introductory call and execution of a non-disclosure agreement where appropriate, qualified investors receive the private placement memorandum, limited partnership agreement, subscription agreement, and the firm's diligence questionnaire.

Diligence and side-letter negotiation

Investors complete diligence at their own pace. Side-letter terms, MFN elections, and ERISA, governmental plan, or non-U.S. accommodations are negotiated during this window. The firm makes counsel and the chief financial officer available for direct response.

Subscription documents

The subscriber returns an executed subscription agreement, investor questionnaire, beneficial ownership certification, FATCA and CRS self-certification forms (W-9 or W-8 series), and a fully completed wire authorization. Subscriptions are subject to acceptance by the general partner in its sole discretion.

Accredited investor verification

Each subscriber's status is confirmed under Regulation D of the Securities Act of 1933. The fund elects either Rule 506(b) or Rule 506(c) on a per-vehicle basis. See the two-path detail below.

AML, KYC, and sanctions screening

The administrator and the firm's compliance team complete identity verification, source-of-funds confirmation, OFAC and consolidated sanctions screening, politically-exposed-person screening, and beneficial ownership review consistent with the firm's AML / KYC / Sanctions program.

Closing and portal activation

On the applicable closing date, the general partner accepts the commitment, executes the subscription, and the administrator opens the investor's capital account. The LP Portal is provisioned within five business days of closing with multi-factor authentication and document access.

Two verification paths

Rule 506(b) and Rule 506(c).

Each Slate Blue Capital fund is offered under either Rule 506(b) or Rule 506(c) of Regulation D. The applicable rule is disclosed in the private placement memorandum and determines the verification standard.

Path A

Rule 506(b): self-certification

Closed offerings to a pre-existing investor network with no general solicitation. Verification relies on the subscriber's written representations and a reasonable-belief standard.

Who qualifies. Accredited investors as defined in Rule 501(a), and a limited number of sophisticated non-accredited investors permitted under the rule when the fund elects to admit them. How status is confirmed. A completed and executed investor questionnaire including income, net worth, professional certification, and entity-status representations. The general partner relies on these representations in good faith. Documentation retained. Executed subscription documents, investor questionnaire, beneficial ownership certification, and source-of-funds disclosures. Solicitation. No general solicitation or general advertising. Access to fund materials is limited to investors with whom the firm has a substantive pre-existing relationship.
Path B

Rule 506(c): third-party verification

Offerings that permit general solicitation. The fund must take reasonable steps to verify accredited investor status, and all purchasers must be accredited investors.

Who qualifies. Accredited investors only. No non-accredited subscribers are admitted. How status is verified. One of: (a) review of W-2s, 1099s, or tax returns for the prior two years confirming income; (b) review of bank, brokerage, and securities account statements together with a credit report confirming net worth; or (c) a written confirmation from a licensed attorney, certified public accountant, registered investment adviser, or registered broker-dealer. Third-party platforms. The firm accepts verification letters issued by independent third-party services where the subscriber prefers not to share underlying financial documents directly with the firm. Acceptable services include those that issue dated, signed verification letters from licensed professionals consistent with the Rule 506(c) safe harbor. Letter validity. Verification letters are accepted for ninety days from the date of issuance. Renewals are required for subsequent commitments outside this window.
Anti-money laundering Independent of accredited verification. Applied to every subscriber and every commitment, including additional commitments from existing LPs.
Beneficial ownership Subscribers identify natural persons holding twenty-five percent or more, consistent with FinCEN Customer Due Diligence and Corporate Transparency Act expectations.
Sanctions screening OFAC SDN, sectoral, and consolidated EU and UK lists. Adverse-media and politically-exposed-person screening on a risk-based basis.
Refusal of subscription The general partner reserves the right to reject any subscription, in whole or in part, for any reason, including failure to satisfy verification or onboarding requirements.
